No Transfer of Claims. Each releasing party under paragraph 2 hereunder hereby represents and warrants to each released party that it and its Related Parties has never transferred any claims of the type released hereunder that it may have had against the released parties to any other person or entity.
No Transfer of Claims. Each of the Borrower Parties represents and warrants that it has not heretofore assigned or transferred, or purported to assign or to transfer, to any person or entity any matter released hereunder or any portion thereof or interest therein, and Borrower agrees to indemnify, defend and hold the parties set forth hereinabove harmless from and against any and all claims based on or arising out of any such assignment or transfer or purported assignment or transfer.

Employee agrees to indemnify and hold the Releasees harmless against, without any limitation, any and all rights, claims, warranties, demands, debts, obligations, liabilities, costs, court costs, expenses (including attorneys’ fees, paralegals' fees and costs, at all levels), causes of action or judgments based on or arising out of any such assignment or transfer. Employee further warrants that there is nothing that would prohibit Employee from entering into this Agreement.

Employee further warrants that there is nothing that would prohibit Employee from entering into this Agreement.
No Transfer of Claims. The parties represent and warrant to each other that none of them has heretofore transferred or assigned to any person or entity, any right to assert any claim against any of the parties to this Agreement or any person entitled to the benefits of this Agreement.
No Transfer of Claims. Each party acknowledges, represents, and warrants that, as of the date of its execution of this Agreement, it has not voluntarily or involuntarily transferred any of its claims, demands, or rights in the Lawsuit.
