No Undisclosed Liabilities or Guaranties. The Borrower does not have any material liabilities, direct or contingent, except as disclosed or referred to in the financial statements referred to in Section 5.03 of this Agreement or otherwise disclosed to Lender in writing or incurred by Borrower after such date and not prohibited by the express terms of this Agreement, nor has the Borrower guaranteed, or otherwise become responsible for, the material obligations of any person, firm or corporation, other than as set out on SCHEDULE 10.12 of this Agreement or otherwise not in contravention of any of the Borrower Documents.
