No Violation of Law or Contract. Borrower's execution and delivery of this Second Amendment, and Borrower's performance of its obligations hereunder and under the Agreement as amended hereby, does not and shall not conflict with the provisions of any statutes, regulation, ordinance or rule of law, or any agreement, contract or other document binding on Borrower.
No Violation of Law or Contract. Agent represents and warrants to Principal that its performance of Service under this Agreement does not and shall not violate any applicable law, rule or regulation or any contracts with third-parties.

The City is not in default in any material respect under any agreement or other instrument to which it is a party or by which it may be bound, the breach of which could result in a material and adverse impact on the financial condition of the City or the ability of the City to perform its obligations hereunder and under the Note. The Issuer is not in default in any material respect under any agreement or other instrument to which it is a party or by which it may be bound, the breach of which could result in a material and adverse impact on the financial condition of the Issuer or the ability of the Issuer to perform its obligations hereunder and under the Note. The making and performing by the Issuer of this Agreement and the Note will not violate any applicable provision of law, and will not result in a material breach of any of the terms of any agreement or instrument to which the Issuer is a party or by which the Issuer is bound, the breach of which could result in a material and adverse impact on the financial condition of the Issuer or the ability of the Issuer to perform its obligations hereunder and under the Note.

The Issuer is not in default in any material respect under the Grant Agreement, the NASA Lease, the Sublease or any other agreement or other instrument to which it is a party or by which it may be bound, the breach of which could result in a material and adverse impact on the financial condition of the Issuer or the ability of the Issuer to perform its obligations hereunder and under the Note. The making and performing by the Issuer of this Agreement and the Note will not violate any applicable provision of law, and will not result in a material breach of any of the terms of any agreement or instrument to which the Issuer is a party or by which the Issuer is bound, the breach of which could result in a material and adverse impact on the financial condition of the Issuer or the ability of the Issuer to perform its obligations hereunder and under the Note.
No Violation of Law or Contract. After giving effect to this Second Amendment, the Company’s performance of its obligations under the Bridge Round Investment Agreement and Unsecured Note Agreement, do not and shall not conflict with the provisions of any statute, regulation, ordinance or rule of law, or any agreement, contract or other document binding on the Company.
No Violation of Law or Contract. By entering into this Agreement, Employer does not admit to the breach of any contractual or other promises to Employee and does not admit to the violation of any federal, state, local or other statute or law, including, but not limited to, those laws referred to in this Agreement, and any claimed breaches or violations are hereby specifically denied.
No Violation of Law or Contract. Notwithstanding any of the provisions of this Agreement to the contrary, Seller shall not be required to provide any Transition Service which Seller is prohibited from providing by law or contractual restriction. Nothing in this Agreement shall require Seller to violate any agreement with any third party, including, without limitation, any software license or agreement. Seller certifies that, to its knowledge, the provision of the Transition Services will not cause it to violate any law or contractual restriction.
No Violation of Law or Contract. The execution and delivery of this Guaranty and the performance by the Guarantor of the obligations hereunder: (i) will not violate or be in conflict with (A) any provision of applicable law, or (B) any judgment, order, writ, injunction, decree or consent of any court or other judicial authority, and (ii) will not violate, be in conflict with, result in a breach of or constitute a default under, any material instrument, indenture, agreement or obligation of the Guarantor.
