No Waiver by the Lenders and Preservation of Rights. Except as expressly provided in this Agreement (or any amendments to the Credit Agreement or other Loan Documents entered into in connection with the Transactions), nothing herein is intended to, or does, in any manner waive, limit, impair, or restrict the ability of each of the Agents and/or the Consenting Lenders to protect and preserve their respective rights, remedies, and interests, including any claims under the Credit Agreement or the other Loan Documents, as defined under the Credit Agreement (including, without limitations, any rights of the Consenting Lenders to enforce with respect to any Event of Default). Without limiting the foregoing sentence in any way, if the Transactions are not consummated or if this Agreement is terminated for any reason, each Consenting Lender fully reserves any and all of its respective rights, remedies, and interests, including, without limitation, all rights under the Loan Documents.

  • No Waiver The failure of a party to insist upon strict adherence to any term of this Agreement on any occasion shall not be considered a waiver of such party’s rights or deprive such party of the right thereafter to insist upon strict adherence to that term or any other term of this Agreement.

  • Governing Law and Venue This Contract has been negotiated and executed in the state of California and shall be governed by and construed under the laws of the state of California. In the event of any legal action to enforce or interpret this Contract, the sole and exclusive venue shall be a court of competent jurisdiction located in Orange County, California, and the parties hereto agree to and do hereby submit to the jurisdiction of such court, notwithstanding Code of Civil Procedure Section 394.
