No XxXxxx Mining Shareholder Approval. (i) In the event that the XxXxxx Mining Shareholder Approval is not obtained, then (i) all of the Subscription Receipts shall, without any action on the part of the Subscription Receiptholder (including the surrender of the Subscription Receipt Certificates), be cancelled by XxXxxx Mining, and (ii) within three (3) Business Days after the date of the XxXxxx Mining Meeting, XxXxxx Mining shall deliver the Escrowed Funds to the Subscription Receiptholder, together with any interest earned on the Escrowed Funds.
