NON-ACCEPTANCE OF SUBSEQUENT OFFER. If, during the time period provided in Section 5.1, the Offeree shall not have accepted the Subsequent Offer, then the Offeror shall be entitled to sell the Purchased Shares in accordance with the Initial Offer, provided that the transaction is completed not later than ( ) days following the last day on which the Offeree is entitled to accept the Subsequent Offer. The Offeree shall be entitled to require proof that the sale took place in accordance with the Initial Offer.
