Common use of Non-Competition and Restrictive Covenant Clause in Contracts

Non-Competition and Restrictive Covenant. If, during the term that the Executive is receiving benefits under this Agreement, the Executive violates the terms of this Agreement, the Release, the Proprietary Information and Invention Agreement, or the Perceptron Executive Agreement Not to Compete or any other non-competition agreement with the Company, the Company’s obligations to the Executive under this Agreement shall automatically terminate.

If, during the term that the Executive is receiving benefits under this Agreement, the Executive violates the terms of this Agreement, the Release, the Proprietary Information and Invention Agreement, Agreement or the Perceptron Executive Agreement Not to Compete (as defined below) or any other non-competition agreement with the Company, the Company’s obligations to the Executive under this Agreement shall automatically terminate.

If, during the term that the Executive is receiving benefits under this Agreement, the Executive violates the terms of this Agreement, the Release, the Proprietary Information and Invention Agreement, or the Perceptron Executive Agreement Not to Compete between the Executive and the Company (the “Non-Competition Agreement”) or any other non-competition agreement with the Company, the Company’s obligations to the Executive under this Agreement shall automatically terminate.
