Non-Default by Force Majeure. If the performance of any obligation under this Agreement is prevented, restricted or interfered as a result of any event of Force Majeure as defined below, no Party shall be deemed to be in default under this Agreement by reason of such event (For the avoidance of doubt, the Party prevented, restricted or interfered as a result of such Force Majeure shall not be deemed as “Breaching Partyunder Clause 16.5); provided, however, that the Party so affected shall give the other Party/Parties the prompt notice of such event of Force Majeure, use its best efforts to minimize, avoid or remove such event of non-performance, and continue performance hereunder without delay whenever such event is no longer applicable.

  • Termination In the event that either Party seeks to terminate this DPA, they may do so by mutual written consent so long as the Service Agreement has lapsed or has been terminated. Either party may terminate this DPA and any service agreement or contract if the other party breaches any terms of this DPA.

  • Definitions For purposes of this Agreement:

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

The Trustee shall make such annual or other reports as may from time to time be required under any applicable state or federal statute or rule or regulations thereunder.
