Common use of Non-Disclosure Agreement Clause in Contracts

Non-Disclosure Agreement. (i) The Non-Disclosure Agreement between the Parties attached hereto as Exhibit I is incorporated herein (the “Non-Disclosure Agreement”), and the termination date of that agreement is modified such that it will terminate on the later of: (1) The termination of the Non-Disclosure Agreement; or (2) One year after the date of termination of this Agreement. Information provided by the Parties pursuant to this Agreement will be subject to the Non-Disclosure Agreement, or to any other agreement that the Parties negotiate to provide reasonable protection for their confidential business information or trade secrets. (ii) Notwithstanding Section 1 of the Non-Disclosure Agreement, the term “Confidential Information” as used in the Non-Disclosure Agreement (and incorporated herein) shall be deemed to include (in addition to the information described in the Non-Disclosure Agreement) this Agreement and all oral or written communications exchanged between the Parties pursuant to this Agreement, except for communications and information described in Section 4 of the Non-Disclosure Agreement. (iii) Confidential Information may only be used for the purposes set forth under the Non-Disclosure Agreement and for the purpose of implementing and enforcing this Agreement.

(i) The Non-Disclosure Agreement between the Parties attached hereto as Exhibit I J is incorporated herein (the “Non-Disclosure Agreement”), and the termination date of that agreement is modified such that it will terminate on the later of: (1) The termination of the Non-Disclosure Agreement; or (2) One year after the date of termination of this Agreement. Information provided by the Parties pursuant to this Agreement will shall be subject to the Non-Disclosure Agreement, or to any such other agreement that the Parties shall negotiate to provide reasonable protection for their confidential business information or trade secrets. (ii) Notwithstanding Section 1 6 of the Non-Disclosure Agreement, the term “Confidential Information” as used in the Non-Disclosure Agreement (and incorporated herein) shall be deemed to include (in addition to the information described in the Non-Disclosure Agreement) this Agreement and all oral or written communications exchanged between the Parties pursuant to this Agreement, except for communications and information described in Section 4 of the Non-Disclosure Agreement. (iii) Confidential Information may only be used for the purposes set forth under the Non-Disclosure Agreement and for the purpose of implementing and enforcing this Agreement.
