Common use of NON-EMPLOYEE DIRECTOR BENEFITS Clause in Contracts

NON-EMPLOYEE DIRECTOR BENEFITS. The parties intend that all Teledyne Technologies Non-Employee Directors who were ATI Non-Employee Directors prior to the Distribution Date may continue to serve as ATI Non-Employee Directors. In furtherance of such intention, ATI shall retain all Benefit Liabilities with respect to the services of its Non-Employee Directors under the ATI Non-Employee Director Plans accrued as of the Distribution Date. Teledyne Technologies assumes no Benefit Liabilities under the ATI Non-Employee Director Plans.
