Non-Grandfathered Restoration Plan Benefit – FAP Participant. Notwithstanding the provisions of Sections 4.4(b)(ii)(A) and 4.4(b)(ii)(C) (and any procedures adopted thereunder), and unless provided otherwise in a Participant’s Agreement, if any, a Participant’s Restoration Plan Benefit that is determined using the final average pay formula under the Retirement Plan and that is in excess of his Grandfathered Restoration Plan Benefit, if any, shall (to the extent not previously paid or commenced to be paid) be paid to the Participant in a cash lump sum as soon as practicable, but not later than 45 business days, after the Participant’s Separation from Service following a Change in Control; provided, however, that such a distribution shall only be made if: (i) the Change in Control satisfies the requirements of Code Section 409A(a)(2)(A)(v) (and the guidance issued thereunder) and such Separation from Service occurs within 2 years of the Change in Control; or (ii) distribution may otherwise be made under this Plan on account of Separation from Service.
