Common use of Non-Interference With Customers or Prospective Customers Clause in Contracts

Non-Interference With Customers or Prospective Customers. Employee further agrees that, for the term of Employee’s employment and for a period of four (4) years after Employee ceases to be employed by the Company, the Employee shall not undertake to interfere with the Company’s relationship with any Customer, Prospective Customer, researcher, supplier, distributer, fxxxxx and/or manufacturer. This means that Employee shall refrain: (i) from making disparaging comments about the Company or its board, management or employees to any Customer or Prospective Customer; (ii) from attempting to persuade any Customer, Prospective Customer, researcher, supplier, distributer, fxxxxx and/or manufacturer to cease or reduce doing business with the Company; (iii) from soliciting any Customer, Prospective Customer, researcher, supplier, distributer, fxxxxx and/or manufacturer for the purpose of providing services competitive with the Company Business; or (iv) from assisting any person or entity in doing any of the foregoing.

Employee further agrees that, for the term of Employee’s employment and for a period of four two (42) years after Employee ceases to be employed by the Company, the Employee shall not undertake to interfere with the Company’s relationship with any Customer, Prospective Customer, researcher, supplier, distributer, fxxxxx and/or manufacturer. This means that Employee shall refrain: (i) from making disparaging comments about the Company or its board, management or employees to any Customer or Prospective Customer; (ii) from attempting to persuade any Customer, Prospective Customer, researcher, supplier, distributer, fxxxxx and/or manufacturer to cease or reduce doing business with the Company; (iii) from soliciting any CustomerCustomer (excluding suppliers and distributors), Prospective CustomerCustomer (excluding suppliers and distributors), researcher, supplier, distributer, fxxxxx and/or manufacturer for the purpose of providing services competitive with the Company Business; or (iv) from assisting any person or entity in doing any of the foregoing.

This means that Employee shall refrain: (i) from making disparaging comments about the Company or its board, management or employees to any Customer or Prospective Customer; (ii) from attempting to persuade any Customer, Prospective Customer, researcher, supplier, distributer, fxxxxx xxxxxx and/or manufacturer to cease or reduce doing business with the Company; (iii) from soliciting any CustomerCustomer (excluding suppliers and distributors), Prospective CustomerCustomer (excluding suppliers and distributors), researcher, supplier, distributer, fxxxxx xxxxxx and/or manufacturer for the purpose of providing services competitive with the Company Business; or (iv) from assisting any person or entity in doing any of the foregoing.

This means that Employee shall refrain: (i) from making disparaging comments about the Company or its board, management or employees to any Customer or Prospective Customer; (ii) from attempting to persuade any Customer, Prospective Customer, researcher, supplier, distributer, fxxxxx and/or manufacturer to cease or reduce doing business with the Company; (iii) from soliciting any CustomerCustomer (excluding suppliers and distributors), Prospective CustomerCustomer (excluding suppliers and distributors), researcher, supplier, distributer, fxxxxx and/or manufacturer for the purpose of providing services competitive with the Company Business; or (iv) from assisting any person or entity in doing any of the foregoing.
