Non-Raid. A. The Employee acknowledges that the Company has invested substantial time and effort in assembling its present staff of personnel. Accordingly, Employee covenants and agrees that during the term of the Non-Compete Period, he will not (i) solicit or hire any of the employees of a Subject Company who were employed by a Subject Company at or within one month before or during the Employee's employment by a Subject Company, (ii) interfere with the relationship of the Subject Company with any such employees, or (iii) personally target or solicit, or assist another to target or solicit, customers of the Subject Company for activities related to the Business or influence, or attempt to influence any of the customers of the Subject Company not to do business with the Company.
Non-Raid. Employee acknowledges that he has had and will have extensive contacts with employees and/or customers of the Company. Accordingly, Employee covenants and agrees that, during the term of this Agreement and for one year thereafter, he will not (i) solicit or encourage any employee of the Company to leave the Company, (ii) interfere in the relationship of the Company with any employee, or (iii) personally target or solicit, or assist another to target or solicit, customers of the Company, for purposes which would compete with the Business of the Company.
Non-Raid. Each of Seller and Xxxxxxx covenants and agrees that -------- it or he shall not, for a period of five years from and after the Closing Date, working alone or in conjunction with one or more other persons or entities, for compensation or not, hire, recruit or otherwise solicit or induce any person or entity who is an employee or Vendor of Seller on the Closing Date or within the six months immediately preceding the Closing Date had been an employee or Vendor of Seller, or who is an employee or Vendor of Buyer or any of its subsidiaries or affiliates after the Closing Date, to terminate their employment with, or otherwise cease or reduce their relationship with, Seller or Buyer or any of its subsidiaries or affiliates, as the case may be. As used in this Section 6.1, the term "Vendor" means (i) any third party selling or licensing a product or ------ service to a Customer or to Seller on or prior to the Closing Date; or (ii) any third party selling or licensing a product or service to a Customer or to Buyer or any of its subsidiaries or affiliates after the Closing Date.

For so long as the Employee is employed by Company, Employee covenants and agrees that Employee shall not, working alone or in conjunction with one or more other persons or entities, for compensation or not, directly or indirectly recruit or otherwise solicit or induce any person or entity who is an employee or Vendor of Company or any of its related parties, subsidiaries or affiliates, to terminate their employment with, or otherwise cease their relationship with, Company or any of its related parties, subsidiaries or affiliates.

Each Seller and VSI covenants and agrees that it shall not, for a period of five years from and after the Closing Date, working alone or in conjunction with one or more other Persons or entities, for compensation or not, (i) recruit or otherwise solicit or induce any Person or entity who is, on the Closing Date or thereafter, an employee or vendor of VSI or Seller to terminate their employment with, or otherwise cease their relationship with, Buyer or any of its subsidiaries or affiliates, or (ii) hire, recruit or otherwise solicit any Person or entity who, within the six months immediately preceding the Closing Date, had been an employee or vendor of VSI or Seller.

Subject to Section 6.1.4 hereof, Seller covenants and agrees that it shall not, for a period of five years from and after the Closing Date, working alone or in conjunction with one or more other persons or entities, for compensation or not, (i) recruit or otherwise solicit or induce any person or entity who is, on the Closing Date or thereafter, an employee or Vendor of the Business to terminate their employment with, or otherwise cease or reduce their relationship with, the Business, Buyer or any of its subsidiaries or affiliates, or (ii) recruit or otherwise solicit any person or entity who, within the six months immediately preceding the Closing Date, had been an employee or Vendor of the Business.

The Employee agrees that so long as he is employed by the Company and during the two-year period immediately thereafter, the Employee shall not either directly or indirectly employ, solicit for employment, or advise or recommend to any other person that such other person employ or solicit for employment, any of the Company's employees.
Non-Raid. Seller agrees to not employ or offer employment to any current employee of the Purchased Business for a period of twelve months subsequent ot the Closing date.

Each Shareholder covenants and agrees that he shall not, beginning on the First Closing Date and extending for a period of two (2) years after the Final Closing Date, working alone or in conjunction with one or more other persons or Entities, for compensation or not, (i) recruit or otherwise solicit or induce any person or Entity who is, on any Closing Date, an employee or Vendor of Chartendure to terminate its employment with, or otherwise cease its relationship with, Chartendure, PetQuarters or the Purchaser or any of its respective subsidiaries or affiliates, or (ii) hire, recruit or otherwise solicit any person or Entity who, within the six months immediately preceding any Closing Date, had been an employee or Vendor of Chartendure; provided, however, that clause (ii) shall not prohibit any Shareholder from
