Non-Residency Status. The Seller is a non-resident of Canada for the purposes of the Income Tax Act (Canada). The Purchased Assets are not "taxable Canada property" for purposes of the Income Tax Act (Canada).
Non-Residency Status. Neither PI nor PPSS is a “non-resident” of Canada within the meaning of the Income Tax Act (Canada).

  • Investor Status At the time such Investor was offered the Securities, it was, and at the date hereof it is, an “accredited investor” as defined in Rule 501(a) under the Securities Act. Such Investor is not a registered broker-dealer under Section 15 of the Exchange Act.
