Common use of Non-Solicitation; Non-Hire Clause in Contracts

Non-Solicitation; Non-Hire. During the term of Employee’s employment at Verso and for a period of 24 months following the termination of such employment for any reason, Employee agrees that Employee will not, either on Employee’s own behalf or on behalf of any other person or entity, directly or indirectly: (a) encourage, induce, solicit, hire or attempt to encourage, induce, or solicit or hire any then current employee of the Verso Group, or otherwise interfere with or encourage any such employee to terminate or limit his or her employment or consulting relationship with Verso; or induce, encourage or assist any other person to engage in any of the activities described above; provided, however, that there shall be no violation of this subsection 4(a) in the event that a Verso Group employee responds to a public solicitation for new hires by an entity with which Employee is associated; (b) encourage, induce, solicit, or attempt to encourage, induce, or solicit any former, current or prospective customer of the Verso Group, about whom Employee acquired confidential information during the course of Employee’s employment with Verso, to cease, or reduce the amount of, or change the terms and conditions of, business it does with the Verso Group; or (c) interfere with, disrupt, or attempt to interfere with or disrupt the business relationships (contractual or otherwise) existing (now or at any time in the future) between Verso and any third party (including, without limitation, the Verso Group’s customers, vendors, suppliers, licensors, lessors, joint venturers, associates, consultants, agents and partners).

During the term period of Employeethe Executive’s employment at Verso and for a the 12-month period of 24 months following the termination of such the Executive’s employment for any reasonwith the Company (the “Restricted Period”), Employee the Executive agrees that Employee will the Executive shall not, either on Employee’s own behalf or on behalf of any other person or entity, directly or indirectly: (a) encourage, induce, solicithire or solicit or seek to induce, hire or attempt to encouragesolicit any person engaged with the Company or its Subsidiaries as an employee, induceagent, or solicit or hire any then current employee of the Verso Group, independent contractor or otherwise interfere with (or encourage any such employee person that was so engaged during the one-year period immediately preceding such initial inducement or solicitation during the Term)(each a “Company Employee”) to terminate or limit end his or her engagement or employment with the Company or consulting relationship with Versoits Subsidiaries; or induce, encourage or assist any other person to engage in any of the activities described above; provided, however, that there shall be no violation of this subsection 4(a) in the event that a Verso Group employee responds to a public solicitation for new hires by an entity with which Employee is associated;or (b) encouragewhether on the Executive’s own behalf or on behalf of or in conjunction with any other person, inducefirm, solicitcorporation or entity, (i) solicit (whether by mail, telephone, personal meeting or attempt to encourageotherwise), induceencourage or induce any customer, supplier or solicit any former, current or prospective customer client of the Verso Group, about whom Employee acquired confidential information during the course of Employee’s employment with Verso, Company or its Subsidiaries to cease, reduce or reduce the amount of, or change the terms and conditions of, refrain from doing any business it does with the Verso Group; or Company or its Subsidiaries, (cii) interfere with, disrupt, with (or attempt to interfere with with) any relationship between the Company or disrupt the business relationships (contractual or otherwise) existing (now or at any time in the future) between Verso its Subsidiaries and any third party (including, without limitation, the Verso Group’s of their respective customers, vendorssuppliers or clients (or any person or entity in respect of which the Executive is aware that the Company or its Subsidiaries has approached or has made significant plans to approach as a prospective customer, supplierssupplier or client), licensors, lessors, joint venturers, associates, consultants, agents and partners)or (iii) aid other persons or entities involved in any such acts.
