Non-Transferability of the Award. Prior to the issuance of shares of Stock on the applicable Settlement Date, neither this Award nor any Units subject to this Award shall be subject in any manner to anticipation, alienation, sale, exchange, transfer, assignment, pledge, encumbrance, or garnishment by creditors of the Participant or the Participant’s beneficiary, except transfer by will or by the laws of descent and distribution. All rights with respect to the Award shall be exercisable during the Participant’s lifetime only by the Participant or the Participant’s guardian or legal representative.
Non-Transferability of the Award. The Award shall not be transferable otherwise than by will or by the applicable laws of descent and distribution. More particularly (but without limiting the generality of the foregoing), the Award may not be assigned, transferred (except as aforesaid), pledged or hypothecated in any way (whether by operation of law or otherwise) and shall not be subject to execution, attachment or similar process. Any attempted assignment, transfer, pledge, hypothecation or other disposition of the Award contrary to the provisions hereof, and the levy of any execution, attachment or similar process upon the Award, shall be null and void and without effect.
Non-Transferability of the Award. The Units and the right to payment under this Agreement are not transferable, may not be sold, exchanged, transferred, pledged, hypothecated, encumbered or otherwise disposed of except as provided in the Plan. Any purported transfer of the Units or the right to payment under this Agreement is null and void and will not be given effect.
Non-Transferability of the Award. Your Award (except for Vested Shares issued pursuant thereto) is not transferable except by will or by the laws of descent and distribution. In the event of your Termination of Service prior to the Closing Date, the closing contemplated in this Agreement shall not occur.
Non-Transferability of the Award. (a) During the Participant’s lifetime, the Participant shall not sell, transfer, assign, pledge or otherwise encumber the Award Shares until all conditions to vesting have been met and the shares have been vested.
(b) This Award shall not be transferable other than by will or the laws of intestate succession. The designation of a beneficiary does not constitute a transfer.
(c) In the event of (i) any attempt by the Participant to alienate, assign, pledge, hypothecate or otherwise dispose of the Award, except as provided for herein, or (ii) the levy of any attachment, execution or similar process upon the rights or interests herein conferred, the Company may terminate the Award by notice to the Participant and it shall thereafter become null and void.
