Non-U.S. Regulatory Compliance. JDSU shall have the authority to adjust the treatment described in this Agreement with respect to Lumentum Group Employees who are located outside of the United States in order to ensure compliance with the applicable Laws or regulations of countries outside of the United States or to preserve the tax benefits provided under local tax Law or regulation before the Distribution.
