Common use of Nondisclosure and Nonuse Obligations Clause in Contracts

Nondisclosure and Nonuse Obligations. Consultant will use the Confidential Information solely to perform Consulting Services for the benefit of EssTec. Consultant agrees that it shall treat all Confidential Information of EssTec with the same degree of care as it accords to its own Confidential Information, and Consultant represents that it exercises reasonable care to protect its own Confidential Information, and Consultant represents that it exercises reasonable care to protect its own Confidential Information. If Consultant is not an individual, Consultant agrees that it shall disclose Confidential Information only to those employees who need to know such information and certifies that such employees have previously agreed, either us a condition of employment, or in order to obtain the Confidential Information, to he bound by terms and conditions substantially similar to those of this Agreement. Consultant agrees not to communicate any information to EssTec in violation of the Proprietary rights of any third party. Consultant will immediately give notice to EssTec of any unauthorized use or disclosure of the Confidential Information. Consultant agrees to assist EssTec in remedying any such unauthorized use or disclosure of the Confidential Information.

If Consultant is not an individual, Consultant agrees that it shall disclose Confidential Information only to those employees who need to know such information and certifies that such employees have previously agreed, either us a condition of employment, or in order to obtain the Confidential Information, to he bound by terms and conditions substantially similar to those of this Agreement. Consultant will immediately give notice to EssTec Company of any unauthorized use or disclosure of the Confidential Information. Consultant Information and agrees to assist EssTec Company in remedying any such unauthorized use or disclosure of the Confidential Information.

If Consultant is not an individual, Consultant agrees that it Consultant shall disclose Confidential Information only to those of Consultant's employees who need to know such information information, and Consultant certifies that such employees have previously agreed, either us as a condition of employment, employment or in order to obtain the Confidential Information, to he be bound by terms and conditions substantially similar to those of terms and conditions applicable to Consultant under this Agreement. Consultant agrees not to communicate any information to EssTec IMMERSION in violation of the Proprietary proprietary rights of any third party. Consultant will immediately give notice to EssTec IMMERSION of any unauthorized use or disclosure of the Confidential Information. Consultant agrees to assist EssTec IMMERSION in remedying any such unauthorized use or disclosure of the Confidential Information.
