Duties of Director. During his employment hereunder the Director will:- - carry out all such duties as may be assigned to him honestly, faithfully and to the best of his ability; - devote the whole of his time and attention to the business of the Unilever Organisation; - not without the prior written consent given to him by or on behalf of the Board, and subject to such conditions as it may lay down from time to time, be concerned or interested in, or directly or indirectly responsible for the management of, any other business: provided that nothing in this sub-clause shall prevent the Director from holding or being otherwise interested in any shares or other securities of any company for investment purposes only.

Duties of Director. Pursuant to and consistent with the provisions of the annual Work Program and Annual Budget, the Planning Director shall perform the following duties: a. Appoint, reappoint, assign and reassign all subordinate employees of the Planning Department and prescribe their duties; b. Coordinate the activities of the Planning Department in its functions with other local, State and Federal agencies; c. Represent the Planning Department, Planning Commission, Board of Adjustment, City or County Manager, or governing bodies, before any agency or local government, the State, any other State or the United States with respect to: i. The Planning Director will prepare revisions to the Work Program or Annual Budget, as needed for subsequent action by the Planning Commission, City and/or County Manger(s), or the Council or Board, as may be required. e. Perform professional planning duties as administrative head of the Planning Department, including but not limited to the following: i. Meet with City and County officials and discuss planning issues, including the development of capital improvement and infrastructure plans, and the development of policy options in response to those issues; ii. Meet and discuss with City and County departments and other public agencies or private groups planning programs in process, under consideration, or established as community objectives. iii. Meet and consult with individuals and groups affected by planning issues, programs, and activities, in order to encourage citizen participation in the planning process; iv. Advise the City and County Managers concerning planning issues and activities of City or County government, which have planning implications; v. Provide management, leadership, and oversight for all planning and implementation activities of the Planning Department; vi. Facilitate the understanding of planning issues and processes by the Planning Commission, City and County governmental agencies and general public. vii. Duties of Director. The duties of the Director of the Trade Rem- edy Law Enforcement Division shall include— (1) directing the trade enforcement and com- pliance assessment activities of U.S. Customs and Border Protection that concern evasion; (2) facilitating, promoting, and coordinating cooperation and the exchange of information between U.S. Customs and Border Protection, U.S. Immigration and Customs Enforcement, and other relevant Federal agencies regarding evasion; (3) notifying on a timely basis the admin- istering authority (as defined in section 1677(1) of this title) and the Commission (as defined in section 1677(2) of this title) of any finding, determination, civil action, or criminal action taken by U.S. Customs and Border Protection or other Federal agency regarding evasion; (4) serving as the primary liaison between U.S. Customs and Border Protection and the public regarding activities concerning evasion, including activities relating to investigations conducted under section 1517 of this title, which include— (A) receiving allegations of evasion from parties, including allegations described in section 1517(b)(2) of this title; (B) upon request by the party or parties that submitted such an allegation of xxx- xxxx, providing information to such party or parties on the status of U.S. Customs and Border Protection’s consideration of the al- legation and decision to pursue or not pur- sue any administrative inquiries or other ac- tions, such as changes in policies, proce- dures, or resource allocation as a result of the allegation; (C) as needed, requesting from the party or parties that submitted such an allegation of evasion any additional information that may be relevant for U.S. Customs and Bor- der Protection determining whether to initi- ate an administrative inquiry or take any other action regarding the allegation; (D) notifying on a timely basis the party or parties that submitted such an allegation of the results of any administrative, civil, or criminal actions taken by U.S. Customs and Border Protection or other Federal agency regarding evasion as a direct or indirect re- xxxx of the allegation; (E) upon request, providing technical as- sistance and advice to eligible small busi- nesses to enable such businesses to prepare and submit such an allegation of evasion, ex- cept that the Director may deny technical assistance if the Director concludes that the allegation, if submitted, would not lead to the initiation of an administrative inquiry or any other...
Duties of Director. Director during the term hereof shall serve as a director of Prime and shall fulfill in good faith the duties required of such position. Director shall use Director's good faith efforts to promote the interests of Prime and Prime's Affiliates, and to preserve their goodwill with respect to their employees, customers, suppliers and other persons having business relations with Prime. Director agrees to accept and hold all such non-employee positions and/or directorships with Prime and Prime's Affiliates as to which Director may, from time to time, be elected. Duties of Director. The Director of Community Education (the “Director”) is responsible for the overall coordination, operation and management of the Program, including maximizing collaboration among the Parties in order to benefit families within the respective jurisdictions of the Parties. Xxxxxxxx shall hire and supervise the Director to oversee the Program, who shall report directly to the Rockwood Superintendent of Schools and/or the Superintendent’s designee. The Parkway Superintendent of Schools may at any time provide input and feedback to the Rockwood Superintendent of Schools regarding the performance of the Director. The Director shall develop programming, manage and administer the selected Program Services to the Parties as provided hereafter. In exercising overall management and operation of the Program for the Parties, the Director shall have the following specific responsibilities: a) Budget development and management responsibility for the Program; b) Supervise the Program and Program Services; c) Responsible for supervision of Community Education employees, unless otherwise specified in Schedule A; and d) Work cooperatively with Party liaisons concerning program and service delivery issues.
Duties of Director. The Director shall consult with the Company from time to time as shall be reasonably agreed to by the Company and the Director. It is contemplated that the Company shall provide to the Director from time to time, until the Company is otherwise notified by the Director, all information (and provide the Director the opportunity to attend all meetings and participate in all other Company functions, including executive planning sessions, strategic sessions, development team meetings and similar events). The parties acknowledge that the Director has other business endeavors and that the Director shall be required to devote an appropriate and sufficient amount of time (as reasonably determined by the Director and the Company), but which may not be the full working time of the Director, to the duties of the Director hereunder. The Director shall, at all times during the term hereof, duly and faithfully perform the duties assigned to him hereunder which the Director agrees to undertake.
Duties of Director. Xxxxxxxx shall act as Director of IMPACT. Xxxxxxxx shall faithfully perform all duties imposed upon him which are applicable to DeKalb County Eastern Community School District by the laws of the United States of America, the State of Indiana, and the rules, regulations and directives periodically promulgated by any board or other agency of the aforementioned governmental units, together with all proper directives from the Governing Body for IMPACT. In particularity, Xxxxxxxx shall: (A) Direct and assign teachers and other employees of IMPACT; and (B) Organize and supervise the administration and supervisory staff of IMPACT, including the instructional and business affairs of IMPACT; and (C) Select all personnel in consultation with the LEA Superintendent; and (D) Recommend to the Governing Body regulations, rules and procedures which are deemed necessary for the orderly administration of education within IMPACT; and (E) Perform all general duties incident to the office of Director and such other duties as may be prescribed, from time to time, by the Governing Body of IMPACT.
