Common use of Nonsolicitation of Employees and Clients Clause in Contracts

Nonsolicitation of Employees and Clients. The Executive specifically acknowledges that he will have access to Confidential Information, including, without limitation, prospective and existing customers or customer lists of the Company. The Executive covenants and agrees that during the term of this Agreement, and for a continuous uninterrupted period of twelve (12) months, commencing upon the expiration or termination of the Executive's relationship with the Company, except as otherwise approved in writing by the Company, the Executive shall not, either directly or indirectly, for himself, or through, on behalf of, or in conjunction with any person, persons, partnership, association, corporation, or entity: (a) Divert or attempt to divert or solicit any prospective or existing customer of the Company to any competitor by direct or indirect inducement or otherwise; or (b) Employ or seek to employ any person who is at that time employed by the Company, any affiliate of the Company, or otherwise directly or indirectly induce or solicit such person to leave his or her employment.
