Common use of Not Bound to Act Clause in Contracts

Not Bound to Act. The Subscription Receipt Agent shall retain the right not to act and shall not be liable for refusing to act if, due to a lack of information or for any other reason whatsoever, the Subscription Receipt Agent, in its sole judgment, determines that such act might cause it to be in non-compliance with any applicable anti-money laundering, economic sanction or anti-terrorist legislation, regulation or guideline. Further, should the Subscription Receipt Agent, in its sole judgment, determine at any time that its acting under this Agreement has resulted in its being in non-compliance with any applicable anti-money laundering, economic sanction or anti-terrorist legislation, regulation or guideline, then it shall have the right to resign on ten (10) days' written notice to the Corporation and the Investor, provided: (i) that the Subscription Receipt Agent's written notice shall describe the circumstances of such non-compliance; and (ii) that if such circumstances are rectified to the Subscription Receipt Agent's satisfaction within such ten (10) day period, then such resignation shall not be effective.

The Subscription Receipt Special Warrant Agent shall retain the right not to act and shall not be liable for refusing to act if, due to a lack of information or for any other reason whatsoever, the Subscription Receipt Special Warrant Agent, in its sole judgment, determines that such act might cause it to be in non-compliance with any applicable anti-money laundering, economic sanction or anti-terrorist legislation, or economic sanctions legislation, regulation or guideline. Further, should the Subscription Receipt Special Warrant Agent, in its sole judgment, determine at any time that its acting under this Agreement Special Warrant Indenture has resulted in its being in non-non- compliance with any applicable anti-money laundering, economic sanction or anti-terrorist legislation, or economic sanctions legislation, regulation or guideline, then it shall have the right to resign on ten (10) 10 calendar days' ’ written notice to the Corporation and the InvestorCorporation, provided: provided (i) that the Subscription Receipt Special Warrant Agent's ’s written notice shall describe the circumstances of such non-compliance; and (ii) that if such circumstances are rectified to the Subscription Receipt Special Warrant Agent's ’s satisfaction within such ten (10) -day period, then such resignation shall not be effective.

The Subscription Receipt Agent Trustee shall retain the right not to act and shall not be liable for refusing to act if, due to a lack of information or for any other reason whatsoever, the Subscription Receipt AgentTrustee, in its sole judgment, determines that such act might cause it to be in non-compliance with any applicable anti-money laundering, economic sanction laundering or anti-terrorist legislation, regulation or guideline. Further, should Should the Subscription Receipt AgentTrustee, in its sole judgmentdiscretion, determine at any time that its acting under this Agreement has resulted in its being in non-compliance with any applicable anti-money laundering, economic sanction laundering or anti-terrorist legislation, regulation or guideline, then it shall have the right to resign on ten (10) days' 10 days written notice to the Corporation and the Investorother parties to this Agreement, provided: provided that (i) that the Subscription Receipt AgentTrustee's written notice shall describe the circumstances of such non-compliance; and (ii) that if such circumstances are rectified to the Subscription Receipt AgentTrustee's satisfaction within such ten (10) 10 day period, then such resignation shall not be effective.

Not Bound to Act. ‌ The Subscription Receipt Special Warrant Agent shall retain the right not to act and shall not be liable for refusing to act if, due to a lack of information or for any other reason whatsoever, the Subscription Receipt Special Warrant Agent, in its sole judgment, determines that such act might cause it to be in non-compliance with any applicable anti-money laundering, economic sanction or anti-terrorist or sanctions legislation, regulation or guideline. Further, should the Subscription Receipt Special Warrant Agent, in its sole judgment, determine at any time that its acting under this Agreement Indenture has resulted in its being in non-compliance with any applicable anti-money laundering, economic sanction or anti-terrorist or sanctions legislation, regulation or guideline, then it shall have the right to resign on ten (10) 10 days' ’ written notice to the Corporation and the InvestorCompany, provided: (i) that the Subscription Receipt Special Warrant Agent's ’s written notice shall describe the circumstances of such nonnoncompliance to the extent permitted by any applicable anti-compliancemoney laundering, anti-terrorist or sanctions legislation, regulation or guideline; and (ii) that if such circumstances are rectified to the Subscription Receipt Special Warrant Agent's ’s satisfaction within such ten (10) -day period, then such resignation shall not be effective.
