Common use of Not-to-Exceed Amount Clause in Contracts

Not-to-Exceed Amount. Following execution of this Agreement by the Parties, the Contractor shall be authorized to and shall commence performance of the Services as described in Exhibit A, subject to the requirements and limitations on compensation as provided by this Section IV and its subsections. Compensation to be paid hereunder shall not exceed Two Hundred Forty Thousand Nine Hundred Seventy-Five Dollars and 00/100 ($240,975.00) (“Not-to-Exceed Amount”) unless a larger amount is agreed to by and between the Parties in accordance with the amendment requirements of this Agreement. Notwithstanding the amount specified in this Section, Contractor shall be paid only for work performed. Contractor shall not be paid until tasks identified in the Scope of Services are performed to the satisfaction of the Town. In consideration for the completion of the Scope of Services by Contractor, the Town shall pay Contractor as follows: If this box is checked, the Town shall pay Contractor on a time and materials basis in accordance with the rate schedule shown in Exhibit B. This amount shall include all fees, costs and expenses incurred by Contractor, and no additional amounts shall be paid by the Town for any fees, costs and expenses. Final payment may be requested by the Contractor upon completion of the Services and the Town’s acceptance of all work or Services as set forth in Exhibit A. If this box is checked, the Town shall pay the Contractor the Not-to-Exceed Amount in a single lump sum payment.

As set forth in Section I.C. above, the Contractor shall provide no Additional Services except pursuant to one or more task orders completed and executed by the Parties. Notwithstanding the amount specified in this Section, Contractor shall be paid only for work performed. Contractor shall not be paid until tasks identified in the Scope of Services are performed to the satisfaction of the Town. In consideration for the completion of the Scope of Services by Contractor, the Town shall pay Contractor as follows: If this box is checked, the Town shall pay Contractor on a time and materials basis in accordance with the rate schedule shown in Exhibit B. A. This amount shall include all fees, costs and expenses incurred by Contractor, and no additional amounts shall be paid by the Town for any fees, costs and expenses. The first installment payment of Seventy-Eight Thousand Two Hundred Fifty-Four Dollars and Twelve Cents ($78,254.12) shall be paid within ten (10) business days of the Effective Date to allow the Contractor to purchase the Equipment for installation. The Contractor shall invoice the Town for the second (and final) installment payment following completion of the Services. The Town shall pay the second installment payment of Fifteen Thousand Three Hundred Fifty Dollars and No Cents ($15,350.00) within thirty (30) days of the date the Town receives such invoice.

Contractor shall not be paid until tasks identified in the Scope of Services are performed to the satisfaction of the TownCity. In consideration for the completion of the Scope of Services by Contractor, the Town City shall pay Contractor as follows: X If this box is checked, the Town City shall pay Contractor on a time and materials basis in accordance with the rate schedule shown in Exhibit B. This amount shall include all fees, costs and expenses incurred by Contractor, and no additional amounts shall be paid by the Town City for any such fees, costs and expenses. Final payment may be requested by the Contractor upon completion of the Services and the TownCity’s acceptance of all work or Services as set forth in Exhibit A. If this box is checked, the Town City shall pay the Contractor the Not-to-Exceed Amount in a single lump sum paymentpayment on N/A Invoicing. The City shall make payments to Contractor in accordance with subsection A of this Section IV within thirty (30) days after receipt and approval of invoices submitted by Contractor. If payment is on a time and materials basis, Contractor shall submit invoices to the City no more frequently than monthly and shall identify the specific Services performed for which payment is requested.
