Notice of Claims or Suits. Tenant agrees to promptly notify Landlord of any claim, action, proceeding or suit instituted or threatened against Landlord. In the event Landlord is made a party to any action for damages which Tenant has herewith indemnified Landlord against, then Tenant shall pay all costs and shall provide effective counsel in such litigation or shall pay, at Landlord's option, the attorney fees and costs incurred in connection with said litigation by Landlord.

Xxxxxx agrees to promptly notify Landlord of any claim, action, or proceeding and cause the same to be resisted and defended by counsel designated by Xxxxxx and approved by Landlord. If any such action, suit or proceeding should result in a final judgment against Landlord, Tenant shall promptly satisfy and discharge the judgment or shall cause the judgment to be promptly satisfied and discharged.
