Common use of Notice of Compelled Disclosure Clause in Contracts

Notice of Compelled Disclosure. If, at any time, Xxxxx becomes legally compelled (by deposition, interrogatory, request for documents, subpoena, civil investigative demand, or similar process or otherwise) to disclose any of the Confidential Information, Xxxxx shall provide Rubicon with prompt, prior written notice of such requirement so that Rubicon may seek a protective order or other appropriate remedy and/or waive compliance with the terms of this Agreement. In the event that such protective order or other remedy is not obtained, that Rubicon waives compliance with the provisions hereof, Xxxxx agrees to furnish only that portion of the Confidential Information which Xxxxx is advised by written opinion of counsel is legally required and exercise Xxxxx’x best efforts to obtain assurance that confidential treatment will be accorded such Confidential Information. In any event, Xxxxx shall not oppose action by Rubicon to obtain an appropriate protective order or other reliable assurance that confidential treatment will be accorded the Confidential Information.

In the event that such protective order or other remedy is not obtained, that Rubicon Mortgage waives compliance with the provisions hereof, Xxxxx Xxxxxx agrees to furnish only that portion of the Confidential Information which Xxxxx Xxxxxx is advised by written opinion of counsel is legally required and exercise Xxxxx’x Xxxxxx’x best efforts to obtain assurance that confidential treatment will be accorded such Confidential Information. In any event, Xxxxx Xxxxxx shall not oppose action by Rubicon Mortgage to obtain an appropriate protective order or other reliable assurance that confidential treatment will be accorded the Confidential Information.

In the event that such protective order or other remedy is not obtained, that Rubicon GBI waives compliance with the provisions hereof, Xxxxx Bettingen agrees to furnish only that portion of the Confidential Information which Xxxxx Bettingen is advised by written opinion of counsel is legally required and exercise Xxxxx’x Bettingen’s best efforts to obtain assurance that confidential treatment will be accorded such Confidential Information. In any event, Xxxxx Bettingen shall not oppose action by Rubicon GBI to obtain an appropriate protective order or other reliable assurance that confidential treatment will be accorded the Confidential Information.

If, at any time, Xxxxx Torneo becomes legally compelled (by deposition, interrogatory, request for documents, subpoena, civil investigative demand, or similar process or otherwise) to disclose any of the Confidential Information, Xxxxx Torneo shall provide Rubicon Insurance with prompt, prior written notice of such requirement so that Rubicon Insurance may seek a protective order or other appropriate remedy and/or waive compliance with the terms of this Agreement. In the event that such protective order or other remedy is not obtained, that Rubicon Insurance waives compliance with the provisions hereof, Xxxxx Torneo agrees to furnish only that portion of the Confidential Information which Xxxxx Torneo is advised by written opinion of counsel is legally required and exercise Xxxxx’x Torneo’s best efforts to obtain assurance that confidential treatment will be accorded such Confidential Information. In any event, Xxxxx Torneo shall not oppose action by Rubicon Insurance to obtain an appropriate protective order or other reliable assurance that confidential treatment will be accorded the Confidential Information.

In any event, Xxxxx shall not oppose action by Rubicon EnerJex to obtain an appropriate protective order or other reliable assurance that confidential treatment will be accorded the Confidential Information.
