Notice of Disqualification. Borrower will give notice to the Agent in writing within five (5) Business Days after becoming aware of any failure of any Eligible Real Estate to satisfy the conditions in this Agreement to inclusion within the calculation of the Unencumbered Asset Value.

Notice of Disqualification. Borrower will give notice to the Agent in writing within five (5) Business Days after becoming aware of any payment default or other failure to comply with other material obligations after the expiration of applicable grace or cure periods under any Eligible Note Receivable included in the calculation of the Borrowing Base Value or of any failure of any Eligible Note Receivable or Eligible Real Estate to satisfy the conditions in this Agreement to inclusion within the calculation of the Unencumbered Asset Borrowing Base Value.
