Common use of Notice of Governing Law Clause in Contracts

Notice of Governing Law. This award of Restricted Stock shall be governed by, and construed in accordance with, the laws of the State of Delaware, U.S.A., without regard to its principles of conflict of laws. For purposes of litigating any dispute that arises under this award of Restricted Stock or this Agreement, the parties hereby submit to and consent to the jurisdiction of the State of California, and agree that such litigation shall be conducted in the courts of Santa Xxxxx County, California, or the federal courts of the United States for the Northern District of California, and no other courts where this award of Restricted Stock is made and/or to be performed.
