Notice of Material Adverse Impact. The Seller shall notify the Purchaser promptly following the occurrence of a Vale Entity Event of Default and promptly regarding any matter of which they are aware that has had or is reasonably likely to have a Material Adverse Effect or may result in a Vale Entity Event of Default.
