The undersigned holder of Series T Preferred Units hereby irrevocably requests XX Xxxxx Operating Partnership, L.P., a Delaware limited partnership (the “Partnership”), to repurchase the number of Series T Preferred Units stated herein in accordance with the terms of the First Amended and Restated Agreement of Limited Partnership of XX Xxxxx Operating Partnership, L.P., as amended from time to time in accordance with its terms, and the Cash Repurchase Right referred to therein; and the undersigned irrevocably (i) surrenders such Series T Preferred Units and all right, title and interest therein and (ii) directs that the Repurchase Consideration deliverable in accordance with this Notice be delivered in the name(s) and at the address(es) specified below. Notice of Repurchase Demand. If either the Seller or the Purchaser has been notified by an Investor of a Mortgage Loan to be repurchased pursuant to Applicable Requirements, and/or either the Seller or the Purchaser has received any correspondence from the Investor requesting information regarding any Mortgage Loan which gives rise to or is reasonably expected to give rise to a demand, such Party shall notify the other Party no later than ten (10) Business Days following receipt of such notice. Any notices required under this Section 8.03 may be made by e-mail.
