Notice of Returned Goods, etc. Borrowers will promptly notify, and will cause their Subsidiaries to promptly notify, Agent of the return, rejection or repossession of any goods sold or delivered to non-consumer purchasers in respect of any Receivables, and of any claims made in regard thereto to the extent that the aggregate purchase price of any such goods that are returned, rejected or repossessed by non-consumer purchasers in any given calendar month exceeds in the aggregate One Hundred Thousand Dollars ($100,000) for such month.

Whenever the Borrowers obtain possession (by return, rejection, repossession or otherwise) of any goods, the sale or lease of which gave rise to an Account, the Borrowers will (unless the Lender shall otherwise consent in writing) physically segregate such goods from the Borrowers' other property, and label and hold such goods as trustee for the Lender for such disposition as the Lender may direct.

Whenever the Borrower obtains possession (by return, rejection, repossession or otherwise) of any material amount of goods, the sale or lease of which gave rise to an Account, the Borrower will (if requested by the Agent) physically segregate such goods from the Borrower's other property, and label and hold such goods as trustee for the Agent for such disposition as the Agent may direct.
