Common use of Notice of Withdrawals Clause in Contracts

Notice of Withdrawals. No Borrower shall permit any Investor to withdraw its interest in any Borrower without the prior written consent of the Lenders, unless (i) such withdrawal is in accordance with the terms of the applicable Constituent Document or Side Letter and this Credit Agreement (including in connection with a Transfer in accordance with Section 9.5) (and only where the Borrower and/or Investment Manager, as applicable, has no discretion to prevent such withdrawal), and (ii) the Borrowers have complied with the mandatory prepayment provisions of Section 3.5 hereof, if applicable, prior to the effectiveness of such withdrawal.

Notice of Withdrawals. No Borrower shall permit any Investor to withdraw its interest in any Borrower without the prior written consent of the Lenders, unless (i) such withdrawal is Investor’s continuing interest in accordance with the terms of the applicable Constituent Document or Side Letter and this Credit Agreement (including in connection with a Transfer in accordance with Section 9.5) (and only where the Borrower and/or Investment Manager, as applicable, has no discretion to prevent such withdrawal), and (ii) the Borrowers have complied with the mandatory prepayment provisions of Section 3.5 hereof, if applicable, prior to the effectiveness of such withdrawalwould violate Applicable Law.
