Common use of NOTICE OF WITHHOLDING OR DEDUCTION Clause in Contracts

NOTICE OF WITHHOLDING OR DEDUCTION. If the Issuer is, in respect of any payment, compelled to withhold or deduct any amount for or on account of taxes, duties, assessments or governmental charges as specifically contemplated under the Terms and Conditions, the Issuer shall give notice thereof to the Paying Agent as soon as it becomes aware of the requirement to make such withholding or deduction and shall give to the Paying Agent such information as it shall require to enable it to comply with such requirement.

If the Issuer is, in with respect of to any payment, compelled required to withhold or deduct any amount for or on account of taxes, duties, assessments taxes or governmental charges duties of whatever nature as specifically contemplated under the Terms and Conditions, the Issuer shall give notice thereof to the Paying Fiscal Agent as soon as it becomes aware of the requirement to make such withholding or deduction and shall give to the Paying Fiscal Agent such information as it shall require to enable it to comply with such requirement. No obligation shall arise on any Agent to gross up amounts if any such withholding or deduction occurs.
