Common use of Notification to Certificateholders and Others Clause in Contracts

Notification to Certificateholders and Others. (a) Upon any resignation of the Master Servicer or the Special Servicer pursuant to Section 6.04, any termination of the Master Servicer or the Special Servicer pursuant to Section 7.01, any appointment of a successor to the Master Servicer or the Special Servicer pursuant to Section 7.02 or the effectiveness of any designation of a new Special Servicer pursuant to Section 6.09, the Trustee shall give prompt written notice thereof to the Depositor, to the Certificateholders at their respective addresses appearing in the Certificate Register and to each Serviced Non-Trust Mortgage Loan Noteholder. Not later than ten (10) days (or, in the case of notice to the Depositor, as soon as reasonably practicable) after a Responsible Officer of the Trustee has received notice of the occurrence of any resignation, termination or replacement of, or appointment of a successor to, any Outside Servicer pursuant to the related Outside Servicing Agreement, the Trustee shall give written notice of such event to the Depositor and the Certificateholders.
