Common use of Notwithstanding Clause D3 Clause in Contracts

Notwithstanding Clause D3. 1 the Council may terminate the Contract by giving written notice to the Contractor with immediate effect if: a) the Contractor repeatedly breaches any of the terms of this Contract in such a manner as to reasonably justify the opinion that its conduct is inconsistent with it having the intention or ability to give effect to the terms of this Contract; or b) if any of the provisions of Regulation 73(1) of the Public Contracts Regulations 2015 (the “Regulations”) apply or would apply if the Contract had been a public contract awarded pursuant to the Regulations; or c) any warranty given by the Contractor in this Contract is found to be untrue or misleading; or d) the Contractor fails to meet any Key Performance Indicators (if applicable) in three (3)
