Common use of Obligations of Executive Clause in Contracts

Obligations of Executive. Executive agrees: (i) to hold all Employer Information in strictest confidence; (ii) not to use, duplicate, reproduce, distribute, disclose, or otherwise disseminate Employer Information or any physical embodiments of Employer Information to any unauthorized recipient; and (iii) in any event, not to take any action causing any Employer Information to lose its character or cease to qualify as, and not to fail to take any action necessary in order to prevent any Employer Information from losing its character or ceasing to qualify as, Confidential Information or a Trade Secret; provided, however, that none of the foregoing obligations shall preclude Executive from making any disclosures of Employer Information which Executive has been advised in writing by independent legal counsel are required by law, rule, or regulation. This Section 7 shall survive for a period of two years following termination of this Agreement for any reason with respect to Confidential Information, and shall survive termination of this Agreement for any reason for so long as is permitted by applicable law with respect to Trade Secrets.
