Common use of Obligations of Licensor Clause in Contracts

Obligations of Licensor. 3.1 On the date of execution of this agreement, Licensor agrees to supply Licensee with all technical information regarding the use and operation of the KDS Micronizing Machine. 3.2 It is understood and agreed that all drawings and technical data in respect of the KDS Micronizing Machine will be furnished by Licensor to Licensee without payments to Licensor other than those herein specified. 3.3 In the event that any improvements to Licensor' s Technology are made or discovered as a result of the Licensee' s work in the development of specialized disintegration and dewatering systems in the palm industry, any and all such improvements, if made by Licensee shall belong to the Licensor and become part of the Licensor' s Technology and, if patentable, shall be filed and registered as patents, at the cost and expense of Licensor, under the ownership of Licensor and be licensed to Licensee for a period of twenty years or for the duration of the patent for an annual fee of $1.00 US per year. Such licence shall give to the Licensee exclusive rights to the use of such improvements as they pertain the Applications in the Territory described herein. 3.4 In furtherance of the program for development of Licensor' s Technology by Licensee, Licensor grants to Licensee permission at any time to send at Licensee' s expense, a reasonable number of technicians for a reasonable time, to Licensor' s plant to obtain any instructions or information which Licensee may reasonably require to enable Licensee to use Licensor' s Technology. Licensor shall, if requested by Licensee, send one of the Licensor' s technicians to Licensee' s plant, at such time and for such period as may be agreed, at Licensee' s expense. Also, Licensor, upon request of Licensee, shall provide its best cooperation in Licensee' s purchase of any parts necessary for production at Licensee' s expense. The cost of any such parts and testing will be at the expense of Licensee. 3.5 Licensor shall furnish literature, mats of artwork and advertising films, slides, and other promotional and training materials to Licensee at cost. 3.6 Licensor shall permit throughout the life of this agreement the exclusive use by Licensee of the trademark " KDS Micronex" owned by Licensor. 3.7 In the event Licensor receives any query from any third party in respect of the KDS Micronizing Machine from within the Territory, Licensor shall refer such query to Licensee.

The Licensor will manufacture and supply the first 20 KDS machines to be used and /or sold by the Licensee pursuant to this License at the Licensor' s then current wholesale price and the Licensee agrees that the Licensor will be the sole supplier of KDS machines to be purchased by the license for use or resale under this license with the following proviso: - electrical components ( motors and panel ) can be purchased by the Licensee directly from local Korean suppliers and installed on the KDS machine by the Licensee, in which case the wholesale price will be adjusted accordingly. It is understood and agreed that all drawings and technical data the Technical Information in respect of the KDS Micronizing Machine Machine, which is listed in Annex B, will be furnished by Licensor to Licensee without payments to Licensor other than those herein specified. 3.3 In within 30 days of the event signing of this Agreement and that any details of improvements to Licensor' s Technology are made or discovered as a result of the Licensee' s work in the development of specialized disintegration and dewatering systems in the palm industry, any and all such improvements, if made by Licensee shall belong to the Licensor and become part of the Licensor' s Technology andtechnology made from time to time will be made available to the Licensee without additional charge. The Licensee' s engineers shall be given adequate advice and schooling from the Licensor on how to use the Technical Information for engineering, if patentabledesigning, manufacturing, installation, and commissioning of the KDS Micronizing Machine. This schooling of Licensee' s engineers, which will take place in Canada and/or in Korea, shall be filed and registered as patentsperformed in accordance with the Schooling Program specified in Annex E, at no cost for time. The travel and accommodation expense for it in case of Korea shall be paid by the cost Licensee. The Licensor shall send a technician to Korea for up to 5 working days to assist in the set-up and expense of Licensor, under the ownership of Licensor and be licensed to Licensee for a period of twenty years or for the duration start-up operation of the patent demonstration machine at no cost for an annual fee of $1.00 US per yeartime, but travel and accommodation costs will be paid by the Licensee. Such licence shall give to the Licensee exclusive rights to the use of such improvements as they pertain the Applications in the Territory described hereinLicensee. 3.4 For any licensed KDS-Project, the licensor shall provide, if requested by the Licensee, the Basic Assistance specified in Annex D, at no cost for time. 3.5 The Licensor shall send a technician to Japan to assist in set up and start-up operation of the demonstration machine at no cost for time, but travel and accommodation costs will be paid by the Licensee. 3.6 In furtherance of the program for development of Licensor' s Technology by Licensee, Licensor grants to Licensee permission at any time to send at Licensee' s expense, a reasonable number of technicians for a reasonable time, to Licensor' s plant to obtain any instructions or information which Licensee may reasonably require to enable Licensee to use the Licensor' s Technology. . 3.7 Licensor shall, if requested at the request by Licensee, send one of the Licensor' s technicians to Licensee' s plant, at such time and for such period as may be agreed, at Licensee' s expense.
