OBLIGATIONS OF THE PURCHASER AND ERGON. 1.1 Subject to Paragraph 1.2 below, the Purchaser shall, and shall procure that any other relevant member of the Purchaser's Group shall, in relation to any loss or liability which might give rise to a Purchaser's Claim (other than an Environmental Indemnity Claim) against Ergon, or any other member of the ICI Group, take reasonable steps to avoid or mitigate such loss or liability, it being acknowledged and agreed by Ergon (for itself and on behalf of each other member of the ICI Group) that the Losses incurred or suffered by the Purchaser or any other member of the Purchaser's Group as a result of such mitigation will, to the extent such Losses are reasonable, be recoverable by the Purchaser (for itself and as trustee for each other member of the Purchaser's Group) from Ergon or the relevant member of the ICI Group. 146 Back to Contents
