December 2001. In the event that either Xxx Xxxx or Xxxxx Xxxxx terminate their employment with the company during the course of the earn out period any bonus relating to any replacement for either Xxx Xxxx or Xxxxx Xxxxx should be added back for the purposes of calculation of the earn out profit to the extent that, when aggregrated with bonuses already paid in the period, it exceeds the amount that either Xxx Xxxx or Xxxxx Xxxxx would have earned had they remained with the company. Any bonus payable in excess of 5% of gross salary for individuals other than those named above or their replacements will be treated as an addback in the earn out accounts.
