Records, Etc. The Pledgor shall keep its office and principal place of business and the place where it keeps its records concerning the Collateral at its address specified in Section 8.6 of the Loan Agreement. The Pledgor will hold and preserve such records and, upon 48 hours’ notice from the Lender, will permit representatives of the Lender at any time during normal business hours to inspect and make abstracts from such records.

Except as excluded in Section 1(b), all files, logs and books (or true copies thereof) relating to the operation of the Station, including all records, reports, logs and documents required by the FCC to be maintained and the complete local public file (collectively, the "Records"); provided, however, that Seller shall be entitled to keep the originals of records for periods prior to January 1, 1997 (the "Seller-Retained Records"), it being understood that as to the Records (1) Seller shall have the right on reasonable request and at its expense to make copies thereof; (2) Buyer shall have the right on reasonable request and at its expense to make copies of the Seller-Retained Records; and

Each of the Borrower and each Material Subsidiary shall keep or cause to be kept proper books of account in conformity with GAAP and sound accounting practice and all applicable Requirements of Law and, on reasonable notice, shall make such books of account and all records, ledgers, reports, contracts and other documents and computer files (including records relating to its assets) in connection with its business available to the Administrative Agent or Lenders (or their respective advisers or representatives) on reasonable notice during regular business hours for the purpose of inspecting or auditing the same, and shall permit them to make extracts of the same and to have access to its computer and management system to inspect such documents and computer files.

Records, Etc. The Purchaser shall procure that each Group Company provides the Seller and its representatives with reasonable access during normal business hours to its accounting records and personnel to facilitate the review and agreement or other determination of the Completion Statements.

All records necessary and required by the FAA, the Department of Transportation, or any other government agency, or by applicable law, shall be (i) in English and delivered with the Aircraft, and if hard, noncomputerized copies of maintenance records are not available, then Lessee shall take action with pertinent regulatory agencies to ensure that Lessor and the FAA are provided with all requested guarantees of methods of compliance, component overhaul and management, quality control, serial number verification, etc., and (ii) all inclusive to the Aircraft and, as a minimum, shall extend to include all activities associated with each of the last completed maintenance checks, repairs, scheduled inspections and functional tests, and overhauls performed to Lessee's MSR. All Parts identified with safe life limits shall be identified with their service histories, accumulated cycles or flight hours, as applicable, and remaining service lives on a separate listing. All components and assemblies which are identified on the maintenance records by part numbers and serial numbers other than the manufacturers shall be provided with interchange or cross reference listing necessary to establish complete traceability.
