Common use of Obligations Upon Termination or Expiration Clause in Contracts

Obligations Upon Termination or Expiration. Upon early termination or the natural expiration of this Agreement: a. all licenses, rights and authorizations granted to Customer herein will immediately terminate and Customer will (i) immediately cease all use of the Software Platform and Documentation; (ii) delete and permanently erase from all of Customer’s systems and equipment, the Software Platform and Documentation; and (iii) if requested by Xxxx, certify in writing that Customer has complied with these termination requirements; and b. all amounts payable of any kind under this Agreement are immediately due and payable effective on the early termination date or expiration date.
