Obtaining the Lease Consents. (a) Except with respect to any Properties which the parties agree should be dealt with by the Service Level Agreements referred to in Section 2.16, Houston and Seattle confirm that, with respect to each Houston Leased Property, Seattle Leased Property, Houston Sublease Property, Houston Leaseback Property which is a Houston Leased Property, Seattle Sublease Property and Seattle Leaseback Property which is a Seattle Leased Property, to the extent required by the Relevant Lease, an application has been made or will be made to the relevant Landlord for the Lease Consents required with respect to the transactions contemplated by this Agreement as soon as reasonably practicable following the date of this Agreement to enable sufficient time for the relevant Landlord to properly consider such application in advance of the Go Live Date. For purposes of this Section 2.9, (i) for any Property requiring a Lease Consent where the tenant, subtenant or licensee (as the case may be) prior to the Go Live Date is Houston or its Subsidiaries (other than Seattle and its Subsidiaries), Houston will have primary responsibility for requesting, negotiating and obtaining the Lease Consent and (ii) for any Property requiring a Lease Consent where the tenant, subtenant or licensee (as the case may be) prior to the Go Live Date is Seattle or its Subsidiaries, Seattle will have primary responsibility for requesting, negotiating and obtaining the Lease Consent (each party having primary responsibility of a Relevant Lease being the “Responsible Party”).
Obtaining the Lease Consents. (a) Adaptec confirms that, with respect to each Leased Property, an application has been made or will be made by the Separation Date to the relevant Landlord for the Lease Consents required with respect to the transactions contemplated by this Agreement.
Obtaining the Lease Consents. (a) Parent and SpinCo confirm that, with respect to each Parent Leased Property and SpinCo Leased Property, to the extent required by the Relevant Lease in connection with any action contemplated by this Agreement, an application will be made as soon as is reasonably practicable after the parties hereto mutually agree to take any such action to the relevant Landlord for the Lease Consents required with respect to the transactions contemplated by this Agreement. For purposes of this Section 2.5, (i) for any Property requiring Landlord Consent of which the tenant/subtenant/licensee before the Separation Time is Parent or its Subsidiaries (other than SpinCo and its Subsidiaries), Parent will have primary responsibility for requesting, negotiating and obtaining the Lease Consent and (ii) for any Property requiring Landlord Consent of which the tenant/subtenant/licensee before the Separation Time is SpinCo or its Subsidiaries, SpinCo will have primary responsibility for requesting, negotiating and obtaining the Lease Consent (each party having primary responsibility of a Relevant Lease being the “Responsible Party”). The Responsible Party shall also make all notices under, and take all other actions with respect to, any Parent Lease or SpinCo Lease to the extent required by such lease in connection with any action contemplated by this Agreement.
Obtaining the Lease Consents. (a) LSI Logic confirms that, with respect to each Leased Property, an application has been made or will promptly be made to the relevant Landlord for the Lease Consents required with respect to the transactions contemplated by this Agreement.
Obtaining the Lease Consents. (a) Remainco confirms that, with respect to each Leased Property, to the extent required by the Relevant Lease, an application/request will be diligently made to the relevant Landlord for the Lease Consents required in accordance with the terms and conditions of the Relevant Lease with respect to the transactions contemplated by this Agreement and the Separation Agreement. Remainco shall be, and has at all times been, primarily responsible for requesting, negotiating and obtaining all Lease Consents. Remainco shall notify Spinco in writing on a weekly basis of the status of the Lease Consents and any issues arising therefrom.

For purposes of this Section 2.9, (i) for any Property requiring Landlord Consent that the tenant/subtenant/licensee prior to the Go Live Date is Houston or its Subsidiaries (other than Xxxxxxx and its Subsidiaries), Houston will have primary responsibility for requesting, negotiating and obtaining the Lease Consent and (ii) for any Property requiring Landlord Consent that the tenant/subtenant/licensee prior to the Go Live Date is Xxxxxxx or its Subsidiaries, Xxxxxxx will have primary responsibility for requesting, negotiating and obtaining the Lease Consent (each party having primary responsibility of a Relevant Lease being the “Responsible Party”).

Obtaining the Lease Consents. (a) Coach confirms that, with respect to each Lease Requiring Consent, an application has been made or will be made by the Separation Date to the relevant Landlord for the Lease Consents required with respect to the transactions contemplated by this Agreement.
Obtaining the Lease Consents. (a) Moon and SpinCo confirm that, with respect to each Moon Leased Property, SpinCo Leased Property, Moon Sublease Property, Moon Leaseback Property which is a Moon Leased Property, SpinCo Sublease Property and SpinCo Leaseback Property which is a SpinCo Leased Property, to the extent required by the Relevant Lease, an application has been made or will be made to the relevant Landlord for the Lease Consents required with respect to the transactions contemplated by this Agreement, the Separation Agreement or the other Documents, as soon as reasonably practicable following the date of this Agreement to enable sufficient time for the relevant Landlord to properly consider such application in advance of the Distribution Date. Moon shall be primarily responsible for requesting, negotiating and obtaining all Lease Consents.

(a) Schlumberger confirms that, with respect to each Leased Property, an application has been made or will be made on or prior to the Separation Date to the relevant Landlord for the Lease Consents required with respect to the transactions contemplated by this Agreement.
