Common use of Odškodnění Clause in Contracts

Odškodnění. INSTITUTION and INVESTIGATOR shall give CRO and SPONSOR prompt written notice of any claims involving the STUDY PRODUCT(s) and shall allow SPONSOR to control the defense of such claim (including settlement negotiations). INSTITUTION and INVESTIGATOR shall fully cooperate with SPONSOR in the defense thereof, including but not limited to, allowing SPONSOR complete access to all relevant records. Nothing herein shall prohibit INSTITUTION or INVESTIGATOR from hiring its own legal counsel at its own cost.

INSTITUTION and INVESTIGATOR shall fully cooperate with SPONSOR in the defense thereof, including but not limited to, allowing SPONSOR complete access to all relevant records. Nothing herein No settlement shall prohibit INSTITUTION or INVESTIGATOR from hiring its own legal counsel at its own costbe binding upon SPONSOR without SPONSOR’s express written consent.
