Offer by third party. If a third party provides GHNA an unsolicited offer to license from GHNA any of the GHSC Trademarks, GHSC Genetics and its associated Intellectual Property Rights or any one or part thereof, in respect of a Territory that SLANG has not exercised its option to obtain a license, GHNA shall not accept such offer except as permitted pursuant to Section 4(c). Upon receipt of such unsolicited offer, GHNA shall notify SLANG, in writing, that GHNA is receipt of such unsolicited offer and provide SLANG with a copy thereof; or, if the unsolicited offer was verbal, provide SLANG with a description of the terms of such unsolicited offer.
