Common use of Offering Services Clause in Contracts

Offering Services. The Manager shall manage and supervise: (i) the development of any offering of Shares that is qualified or registered with the Commission (an “Offering”), including the Company’s initial Offering pursuant to Regulation A, including the determination of the specific terms of the securities to be offered by the Company, preparation of all offering and related documents, and obtaining all required regulatory approvals of such documents; (ii) the preparation and approval of all marketing materials to be used by the Company or others relating to an Offering; (iii) the negotiation and coordination of the receipt, collection, processing, and acceptance of subscription agreements, commissions, and other administrative support functions; (iv) the creation and implementation of various technology and electronic communications related to an Offering; and (v) all other services related to an Offering.

Offering Services. The Manager MANAGING MEMBER or BOARD OF DIRECTORS shall manage and supervise: (i) 1. the development of any offering of Shares that is qualified or registered with the Commission COMMISSION (an “"Offering”"), including the Company’s COMPANY'S initial Offering pursuant to Regulation AA+, including the determination of the specific terms of the securities to be offered by the CompanyCOMPANY, preparation of all offering and related documents, and obtaining all required regulatory approvals of such documents; (ii) 2. the preparation and approval of all marketing materials to be used by the Company COMPANY or others relating to an Offering; (iii) 3. the negotiation and coordination of the receipt, collection, processing, and acceptance of subscription agreements, commissions, and other administrative support functions; (iv) 4. the creation and implementation of various technology and electronic communications related to an Offering; and (v) 5. all other services related to an Offering.

The Manager shall manage and supervise: (i) the development of any offering (an “Offering”) of Shares Securities that is qualified or registered with the Securities and Exchange Commission (an the “OfferingCommission”), including the Company’s initial Offering pursuant to Regulation A, including the determination of the specific terms of the securities Securities to be offered by the Company, preparation of all offering and related documents, and obtaining all required regulatory approvals of such documents; (ii) the preparation and approval of all marketing materials to be used by the Company or others relating to an Offering; (iii) the negotiation and coordination of the receipt, collection, processing, and acceptance of subscription agreements, commissions, and other administrative support functions; (iv) the creation and implementation of various technology and electronic communications related to an Offering; and (v) all other services related to an Offering.

The Manager shall manage and supervise: (i) the development of any offering of Shares Units that is qualified or registered with the Commission (an “Offering”), including the Company’s initial Offering pursuant offerings purusant to Regulation A, including the determination of the specific terms of the securities to be offered by the Company, preparation of all offering and related documents, and obtaining all required regulatory approvals of such documents; (ii) the preparation and approval of all marketing materials to be used by the Company or others relating to an Offering; (iii) the negotiation and coordination of the receipt, collection, processing, and acceptance of subscription agreements, commissions, and other administrative support functions; (iv) the creation and implementation of various technology and electronic communications related to an Offering; and (v) all other services related to an Offering.

Offering Services. Offering Services. The Manager Advisor shall manage and supervise: (i) the development of any offering of Shares that is qualified or registered with the Commission (an “Offering”), including the Company’s initial Offering pursuant to Regulation AA promulgated under the Securities Act, including and the determination of the specific terms of the securities to be offered by the Company, preparation of all offering Offering and related documents, and obtaining all required regulatory approvals of such documents; (ii) the preparation and approval of all marketing materials to be used by the Company or others relating to an Offering; (iii) the negotiation and coordination with the Company’s broker-dealer of the receipt, collection, processing, and acceptance of subscription agreements, commissions, and other administrative support functions; (iv) the creation and implementation of various technology and electronic communications related to an Offering; and (v) all other services related to an Offering.

Offering Services. The Administrative Manager shall manage and supervise: (i) the development of any offering of Shares that is qualified or registered with the Commission (an “Offering”), including the Company’s initial Offering pursuant to Regulation A, including the determination of the specific terms of the securities to be offered by the Company, preparation of all offering and related documents, and obtaining all required regulatory approvals of such documents; (ii) the preparation and approval of all marketing materials to be used by the Company or others relating to an Offering; (iii) the negotiation and coordination of the receipt, collection, processing, and acceptance of subscription agreements, commissions, and other administrative support functions;, including engagement of escrow agents and similar service providers (iv) the creation and implementation of various technology and electronic communications related to an Offering; and (v) all other services related to an Offering.
