Common use of Offering Services Clause in Contracts

Offering Services. (i) Oversee the preparation and execution of public and private offerings of equity and debt, determination of the specific terms of the securities to be offered by NRF or its subsidiaries, preparation of all offering and related documents and obtaining all required regulatory approvals of such documents; (ii) Identify and negotiate with underwriting firms; (iii) Coordinate the due diligence process relating to participating underwriting firms and their review of any registration statement and/or other offering and NRF documents; (iv) Coordinate the preparation of and approve investor reports and other materials contemplated to be used in the offerings; (v) Negotiate and coordinate with the transfer agent; and (vi) Perform all other services related to any offering, other than services that (a) are to be performed by the underwriters, (b) NRF elects to perform directly or (c) would require Asset Manager to register as a broker-dealer with the SEC, FINRA or any state.
