OFFICER'S COMPENSATION. The Officer's sole compensation for any employment or assistance rendered pursuant to Paragraph 2(b) hereof shall be a weekly salary paid at 115% of the average salary (on a weekly basis) paid to such person by the Borrower in the twelve (12) months immediately preceding the commencement of such employment or activities. Such compensation shall be prorated for partial weeks of service.

  • Managers Compensation Any or all Managers may receive such reasonable compensation for their services, whether in the form of salary or otherwise, with expenses, if any, as the Board may reasonably determine. Any such compensation and expense will be paid by the Member.
