Offsetting Terms and Conditions. The Quantity Offset, within a daily limit of 10% of the Terminal Nominal Flow Rate, shall be delivered in kind to the PEG in the TRS balancing zone. If the Shipper Responsible cannot completely fulfil this obligation to offset in kind, said Shipper must offset the volume lacking financially by paying the Affected Shipper an indemnity, the amount of which shall be equal to the quantities not offset in kind under this paragraph, multiplied by the sale price applied by the Transmission System Operator in the event of imbalance in the TRS balancing zone in accordance with the balancing rules published on its website and accessible via the following link: xxxx://xxx.xxxxx.xxxxxx.xxx/fr/prix. As regards the remaining Quantity Offset, several offsetting terms and conditions are possible: • Offsetting in kind at the TRS balancing zone PEG; or • Offsetting at the PEG(s) that are adjacent to the TRS balancing zone, taking into account the transportation differential or any other method of offsetting in kind agreed between the Shipper Responsible and the Affected Shipper(s). This method of offsetting shall be used within the limit of what the Shipper Responsible can offer and what is acceptable for the Affected Shipper(s), without said Affected Shipper(s) being able to refuse without reasonable grounds; or • Financial offsetting. If the Shipper Responsible cannot completely fulfil this obligation to offset in kind, said Xxxxxxx must financially offset the volume lacking by paying the Affected Shipper an indemnity, the amount of which shall be equal to the lesser of the following two figures: i) sale price used by the Transmission System Operator in the event of an imbalance in the TRS balancing zone. ii) market price at the TRS balancing zone PEG plus 10%. If no reference price is published, the market price shall be equal to the price applied in transactions that do not involve any of the parties for which the Parties can prove the existence, by any means, over the period in question or, in the absence of proof, the price given in (i) above. The principles set forth above shall apply in the absence of a sufficiently liquid, deep and transparent market. When a market that includes the PEG TRS is sufficiently liquid, deep and transparent to make it possible to find quantities of gas thereon that allow for offsetting, the offsetting shall be entirely in kind.
