Common use of Operating Committee Duties Clause in Contracts

Operating Committee Duties. (a) The Operating Committee shall be responsible for assisting the Parties in finalizing the Operating Procedures in accordance with Section 2.5 and for advising the Parties in relation to the following matters relating to the interaction of the Complex and the Grid System: (i) the co-ordination of the respective programmes and procedures of the Parties for the construction and operation and maintenance of the Company Interconnection Facilities, the Complex, the Power Purchaser Interconnection Facilities, and all related equipment; (ii) the planning, directing, coordinating, reporting, monitoring and evaluation of water resources and water flow, such that the operation of the Complex does not materially or adversely affect the hydrological conditions of a power generation facility located down stream from the Complex and to timely inform the Power Purchaser regarding the operational pattern of the Complex to enable the down stream generation facility to accurately forecast the hydrological conditions at the down stream facility for enabling declaration of its available capacity. (iii) the steps to be taken on the occurrence of a Force Majeure Event affecting a Party, the Complex, or the Grid System, or a shutdown or reduction in capacity for any other reason affecting the Company Interconnection Facilities, the Grid System, or the Complex, or any related equipment; (iv) safety matters affecting the Complex, the Company Interconnection Facilities, the Grid System, the Parties or their Contractors; (v) clarification of emergency plans developed by the Power Purchaser for recovery from a local or widespread electrical blackout; (vi) review and revision of protection schemes; and (vii) any other matter agreed upon by the Parties. (b) The Operating Committee shall have no power or authority to amend or modify the provisions of this Agreement or to determine the rights or obligations of the Parties under this Agreement.

(iii) the steps to be taken on the occurrence of a Force Majeure Event affecting a Party, the Complex, or the Grid System, or a shutdown or reduction in capacity for any other reason affecting the Company Purchaser Interconnection Facilities, the Seller Interconnection Facilities, the Grid System, or the Complex, or any related equipment; (iviii) safety matters affecting the Complex, the Company Purchaser Interconnection Facilities, the Seller Interconnection Facilities, the Grid System, the Parties or their Contractors; (iv) review and revision of protection schemes; (v) developing testing procedures for the Purchaser Interconnection Facilities and the Seller Interconnection Facilities (vi) review and improve, if required, the methods for evaluating the NPMV in accordance with Schedule 10 and Schedule 13; (vii) clarification of emergency plans developed by the Power Purchaser for recovery from a local or widespread electrical blackout; (vi) review and revision of protection schemes; and (viiviii) any other matter agreed upon by the Parties.; (b) The Operating Committee shall have no power or authority to amend or modify the provisions of this Agreement Agreement, or to determine the rights or and obligations of the Parties under this Agreement.

(iii) the steps to be taken on the occurrence of a Force Majeure Event affecting a Party, the Complex, or the Grid System, or a shutdown or reduction in capacity for any other reason affecting the Company Purchaser Interconnection Facilities, the Grid System, or the Complex, or any related equipment; (iviii) safety matters affecting the Complex, the Company Purchaser Interconnection Facilities, the Grid System, the Parties or their Contractors; (v) clarification of emergency plans developed by the Power Purchaser for recovery from a local or widespread electrical blackout; (viiv) review and revision of protection schemes; (v) inspection, testing and calibration of the Anemometry System, the agreed accuracy limits therefor and adjustments to be made to wind speed data upon the Anemometry System being inaccurate in excess of the agreed limits since the last inspection; (vi) develop testing procedures for the Purchaser Interconnection Facilities and the Seller Interconnection Facilities; and (vii) any other matter agreed upon by the Parties. (b) The Operating Committee shall have no power or authority to amend or modify the provisions of this Agreement or to determine the rights or obligations of the Parties under this Agreement.

(b) The Operating Committee shall have no power or authority to amend or modify the provisions of this Agreement or to determine the rights or obligations of the Parties under this Agreement.
