OPERATION AND MAINTENANCE OF STATION FACILITIES. (a) The Manager shall, subject to the terms of this Agreement, assume responsibility for all reasonable expenses incurred by Permittee in the construction or operation of the Station subsequent to the Effective Date, including but not limited to salaries, lease payments for studios and broadcast equipment, utilities, insurance and other routine expenses and repairs (unless the expense or repair does not involve a routine matter and is caused by the willful misconduct or negligence of Permittee, its employees or agents). All expenses submitted by Permittee for reimbursement are subject to verification by Manager.
