Operation and Maintenance Services. Seller is hereby granted the right and authority (and, to the extent necessary to carry out its functions hereunder, a limited power of attorney) and agrees, for the benefit of Buyer, to operate safely and reliably each Facility and to maintain during the Warranty Period in accordance with the terms of this Agreement each such Facility in good condition and repair in accordance with the Warranty Specifications, Performance Standards and Prudent Electrical Practices. Operation and Maintenance Services. The Governing Body shall consider and make appropriate provision for operation and maintenance of the Farm and all equipment and facilities located thereon, including by execution of one or more interlocal agreements and/or contracts for services with one or more Governing Body Members, non-Member governmental or nonprofit organizations, or private entities. Operation and maintenance services may include, but are not limited to, the following: 6.3.2.1 Management of the day-to-day operations and maintenance of the Farm, including maintenance of buildings and grounds, fields, forests, trails, and equipment consistent with any level(s) of service established within the Agreement for Operations and Maintenance of Meadowbrook Farm; 6.3.2.2 Coordination of schedules for classes, camps, and events, with scheduling priority given for educational activities over event planning; 6.3.2.3 Coordination and operation of event rentals; 6.3.2.4 Preparation of grant applications and coordination of any recommended capital projects; 6.3.2.5 Construction and installation of improvements consistent with the Farm Master Plan and Capital Improvement Plan; 6.3.2.6 Engagement in communications and marketing concerning the Farm; 6.3.2.7 Provision of docent/interpretive/educational services and/or activities; and 6.3.2.8 Review and approval, in the Governing Body’s reasonable discretion, of such projects proposed pursuant to Section 6.3.2.5, for incorporation into the 2013 Meadowbrook Farm Master Plan and future amendments thereto and any Annual Capital Plan approved by the Governing Body. Such approval implies working to secure funding through their respective jurisdiction’s budget approval authority and/or other funding sources.

Operation and Maintenance Services. During the Term, O&M Contractor shall perform all maintenance, diagnostics, repair and replacement services, Scheduled Maintenance, and Unscheduled Maintenance necessary to operate and maintain the Project in accordance with the performance standards set forth in Section 4.1(b) and to achieve the Guaranteed Performance, including providing all work, materials, Consumables, items, labor and services specifically identified in, or reasonably inferred from this Agreement, including Exhibit A-1. For the avoidance of doubt, (a) all of O&M Contractor’s obligations under this Agreement are included in and shall be performed for the Fixed Fee, unless specifically excluded as T&M Services, and
Operation and Maintenance Services. Operator shall, in accordance with Standard Industry Practice, at its sole cost and expense, procure and furnish all materials, equipment, services, supplies, and labor necessary for the routine operation and maintenance of the Compressor Motor Facilities in accordance with all material agreements and all applicable Laws, insurance policies and permits pertaining to the Compressor Motor Facilities and the Compressor Station. Without limiting the general authority provided above, Operator shall have the right and duty to do (or cause to be done): (i) Operate the Compressor Motor Facilities, including all appurtenant mechanical, electrical and other utility connections, in good operating condition in order to provide HP-Hours as required by, and meet any other obligation of ECS pursuant to, the Compression Services Agreement; (ii) Repair and maintain the Compressor Motor Facilities (including any facilities which are part of the Compressor Motor Facilities) in good working order, including the performance of periodic testing, adjustment, external and internal inspection of the Compressor Motor Facilities as are recommended by the manufacturers or may be required from time to time, and such maintenance, reconditioning or overhaul as may be necessary and appropriate to maintain the Compressor Motor Facilities and portions thereof in good operating condition in order to provide HP Capacity and HP-Hours as required by, and meet any other obligations of ECS pursuant to, the Compression Services Agreement and in accordance with this Agreement; (iii) Recommend modifications, capital repairs, replacements and improvements to the Compressor Motor Facilities and, upon notice and approval of ECS, implement the same; (iv) Update and implement preventive maintenance programs in order to comply with equipment manufacturers’ specifications and recommendations; (v) Supervise the purchase and use of all materials and supplies in connection with the operation and maintenance of the Compression Motor Facilities; (vi) Provide sufficiently trained (and when required by law, licensed) personnel to adequately provide the operation and maintenance of the Compressor Motor Facilities as provided hereunder, and pay the wages and salaries of such personnel; (vii) Schedule, hire and supervise subcontractors and vendors as may be necessary for the performance of the services hereunder. Operation and Maintenance Services. GTC shall provide or cause to be provided operation and maintenance services with regard to the GTC Interconnection Facilities (Appendix B-3), and Applicant agrees to pay for all such costs associated with such operation and maintenance services pursuant to Article 9.1. Applicant shall be responsible for operation and maintenance services for the Applicant Facilities.
Operation and Maintenance Services. Operator shall staff the Cogen Facility 24 hours a day, 365 or 366 days per year, as applicable, and shall use its commercially reasonable efforts to operate the Cogen Facility in accordance with each of the Cogen Facility Contracts, Prudent Plant Operating Standards, Warranties (to the extent consistent with Prudent Plant Operating Standards), operating manuals provided by Owner, all Governmental Rules and Permits applicable to the Cogen Facility, and the Operating Plan and Budget. Operation and Maintenance Services. The Authority shall have the right to engage Contractor to perform operation and maintenance services for the System (the "O&M Services") for O&M Term. The Authority shall engage Contractor to perform O&M Services by delivering a written notice to the Contractor exercising the Authority's option to engage the Contractor for such O&M Services. In the event the Authority so engages the Contractor to perform O&M Services, the Contractor shall perform such Services in accordance with the requirements set forth in the Contract Documents, including, without limitation, the Service Levels, and the Technical Specification.
Operation and Maintenance Services. Lessor is under an obligation to maintain common areas and provide certain amenities, facilities and services viz., lighting, security, housekeeping, painting, etc. in discharge of its obligation (the "Operation and Maintenance Services"), more particularly described in the Bylaws on the terms and conditions hereinafter contained: (i) Lessor shall be entitled to engage any person and/or entity under contract from time to time in order to provide the Operation and Maintenance Services to Lessee. (ii) In addition to the Lease Rent and Security Deposit payable by Lessee to Lessor as mentioned herein above, Lessee shall pay an operations and maintenance fee exclusive of service tax if applicable ("Operation and Maintenance Fee") of Rs. 1,00/- per sq.ft per month of the Demised Premises for the total area of 38,987/- sq.ft taken on lease amounting to Rs.38,987/- (Rupees Thirty Seven Thousand and Five Hundred and Sixty only), per month until the expiration and/or earlier termination of the Term in return for the proper and full provision of the Operation and Maintenance Services by Lessor to Lessee, The Operation and Maintenance Fee shall be payable by the Lessee at an annual compounded incremental rate of 5% per annum. (iii) The Operations and Maintenance Fee shall become payable in advance every month within the first ten (10) days of each calendar month towards proportionate share in the cost of all the development, usage, maintenance, administration and functioning of the IT Park as listed in the Bylaws. (iv) In the event of failure by Xxxxxx to make payment of the amounts as per this Lease Deed, then the same will be considered `as breach of this Lease Deed and the consequences provided upon such breach shall follow. (v) In the event of Lessee failing to make payments, on or before the 10th day of each calendar month, the Lessor will issue a 10 days notice (up to the 25th of respective month) and the payments due shall be payable with 17% interest p.a. for any delay beyond the 15th day of the calendar month. In case the payment and the interest due is not made before the 25th, Lessor shall be entitled to cease to provide all Operation and Maintenance Services set out in the Bye Laws. Lessor shall also be entitled to claim the dues with interest in addition to the right to disconnect such services.
