Operative Documents; No Default. Each of the Operative Documents shall have been duly authorized, executed and delivered by the parties thereto, in form and substance satisfactory to the parties hereto, and shall be in full force and effect. No Default or Event of Default shall exist under any of the Operative Documents (either before or after giving effect to the transactions contemplated by the Operative Documents), and the Lessor shall have received a fully executed copy of each of such Operative Documents (other than this Lease, of which the Lessor shall receive the original). The Operative Documents (or memoranda thereof), any supplements thereto and any financing statements in connection therewith required under the Uniform Commercial Code shall have been recorded, registered and filed, if necessary, in such manner as to enable counsel to render the opinions referred to in clause (c) below and to enable the title company to issue the title insurance policies referred to in clause (j) below.
